Data Processing Agreement for Your Business Reviews

This Data Processing Agreement ("Agreement") forms part of the Terms of Service between The Elite Business Coach Pty Ltd, operating as Your Business Reviews ("Controller"), and the user ("Processor") of the website www.yourbusinessreviews.com.au (collectively, the "Parties").

1. Definitions

• "Personal Data": Any information relating to an identified or identifiable natural person.
• "Processing": Any operation performed on Personal Data, whether automated or not, such as collection, storage, use, disclosure, or deletion.
• "Data Subject": The individual to whom the Personal Data relates.

2. Purpose of Processing

The Processor agrees to process Personal Data solely for the purpose of providing services as outlined in the Terms of Service and in compliance with applicable data protection laws.

3. Obligations of the Processor

• Process Personal Data only on documented instructions from the Controller.
• Ensure that individuals authorized to process the Personal Data have committed to confidentiality.
• Implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk.
• Assist the Controller in ensuring compliance with data protection obligations concerning data security, breach notifications, data protection impact assessments, and consultations with supervisory authorities.
• At the choice of the Controller, delete or return all Personal Data after the end of the provision of services, unless required by law to store the data.
• Make available to the Controller all information necessary to demonstrate compliance with these obligations and allow for and contribute to audits, including inspections, conducted by the Controller or another auditor mandated by the Controller.

4. Sub-Processing

The Processor shall not engage another processor without prior specific or general written authorization from the Controller. In the case of general written authorization, the Processor shall inform the Controller of any intended changes concerning the addition or replacement of other processors, giving the Controller the opportunity to object to such changes.

5. International Data Transfers

The Processor shall not transfer Personal Data to a third country or international organization without the prior documented consent of the Controller, unless required to do so by law. In such a case, the Processor shall inform the Controller of that legal requirement before processing, unless prohibited by law on important grounds of public interest.

6. Data Subject Rights

Taking into account the nature of the processing, the Processor shall assist the Controller by appropriate technical and organizational measures, insofar as this is possible, for the fulfillment of the Controller's obligation to respond to requests for exercising the data subject's rights.

7. Duration

This Agreement is effective for the duration of the Processor's processing of Personal Data on behalf of the Controller.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Queensland, Australia.
